PART I — TERMS OF USE

1.   Acceptance of Terms

By downloading, installing, accessing, or using the WebOAS Mobile application (“the App”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, do not use the App.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and AGAT Laboratories Ltd. (“AGAT,” “we,” “us,” or “our”), a company incorporated under the laws of the  Province of Alberta, Canada, with its principal office located at  2905 12 Street NE, Calgary, Alberta.

2.   Description of Service

WebOAS Mobile is an enterprise field sample management application designed for oil analysis operations. The App enables authorized users to:

  • Scan equipment identification tags using QR codes and barcodes
  • Record and submit oil sample information for laboratory analysis
  • View laboratory results, including analyte readings and severity assessments
  • Track fleet health across equipment, components, and historical samples
  • Receive push notifications for critical results and sample status updates
  • Access and manage submissions while offline, with automatic synchronization when connectivity is restored

The App is provided as part of AGAT’s Web-based Oil Analysis System (WebOAS) and is intended exclusively for use by authorized personnel of AGAT and its clients.

3.   User Accounts and Authentication

3.1  Account Provisioning

The App is not available for public registration. User accounts are created and managed by AGAT IT administrators through the Laboratory Tracking System (LTS). You may not create an account on your own behalf or on behalf of others.

3.2  User Roles

Access within the App is governed by assigned roles:

  • AGAT Administrator — Full system access, including administrative functions
  • Client Administrator — Access to all data within their organization, including the ability to manage submissions on behalf of technicians
  • Client Technician — Access limited to submitting samples and viewing their own submissions and results

3.3  Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to:

  • Not share your account credentials with any other person
  • Notify AGAT immediately if you suspect unauthorized access to your account
  • Use two-factor authentication (2FA) when enabled for your account
  • Comply with the password policy requirements (minimum 10 characters, including uppercase, lowercase, numeric, and special characters)

AGAT reserves the right to suspend or disable your account if unauthorized use is suspected.

3.4  Single Sign-On (SSO)

Where enterprise Single Sign-On is configured for your organization, your use of SSO is additionally subject to your organization’s authentication policies.

4.   Acceptable Use

You agree to use the App only for its intended purpose — the management and submission of oil sample data as part of AGAT’s laboratory services. You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the App, its servers, or any connected systems
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App
  • Modify, adapt, translate, or create derivative works based on the App
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the App
  • Use the App to transmit any malicious code, viruses, or harmful data
  • Submit false, misleading, or fraudulent sample data
  • Use automated scripts, bots, or other means to interact with the App
  • Interfere with or disrupt the integrity or performance of the App or its related systems

5.   Intellectual Property

5.1  Ownership

The App, including its design, code, graphics, user interface, logos, and all related intellectual property, is owned by AGAT Laboratories Ltd. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

5.2  Limited License

Subject to your compliance with these Terms, AGAT grants you a limited, non-exclusive, non-transferable, revocable license to use the App on your mobile device solely for the purposes described in Section 2. This licence does not include the right to:

  • Sublicence, sell, or distribute the App
  • Use the App for the benefit of any third party not authorized by AGAT
  • Copy or reproduce the App except as reasonably necessary for normal use and backup

5.3  Trademarks

“AGAT Laboratories,” “WebOAS,” and related logos and marks are trademarks of AGAT Laboratories Ltd. You may not use these marks without prior written consent from AGAT.

6.   Data and Content Ownership

6.1  Sample Data

All sample data, test results, analyte readings, and related laboratory information processed through the App remain the property of the respective client organization that submitted the samples, subject to AGAT’s rights under the applicable laboratory services agreement.

6.2  User-Generated Content

Any data, information, or content you submit through the App (“User Content”) is subject to the following:

  • You represent that you have the right to submit such content
  • AGAT may use, store, process, and transmit User Content as necessary to provide the services
  • AGAT will handle User Content in accordance with our Privacy Policy and any applicable data processing agreements

6.3  Laboratory Results

Laboratory results, severity thresholds (Normal, Reportable, Critical), and analyte interpretations are provided by AGAT’s Laboratory Tracking System. These results are provided for informational purposes based on laboratory analysis and should be interpreted in accordance with applicable industry standards and your organization’s maintenance protocols.

7.   Offline Mode and Data Synchronization

7.1  Offline Functionality

The App includes offline capabilities that allow you to continue working when an internet connection is unavailable. While offline:

  • Previously accessed equipment data and dropdown values are cached locally on your device
  • You may create and save sample submissions locally
  • Data entered offline is stored securely on your device until connectivity is restored

7.2  Synchronization

When connectivity is restored, the App will synchronize locally stored data with AGAT’s servers. You acknowledge that:

  • There may be a delay between data entry and server synchronization
  • In the event of a conflict between locally stored data and server data, the App will flag the conflict for resolution rather than silently overwriting data
  • AGAT is not responsible for data loss resulting from device failure, loss, or theft prior to synchronization
  • It is your responsibility to ensure your device connects to the internet periodically to synchronize pending submissions

7.3  Local Storage

Data cached on your device for offline use is stored in accordance with mobile platform security standards. You are responsible for maintaining the physical security of your device. Logging out of the App does not erase cached offline data; however, you should avoid leaving pending unsynced submissions for extended periods.

8.   Push Notifications

The App may send push notifications to your device for important events, including but not limited to:

  • Critical laboratory result alerts
  • Overdue sample reminders
  • Submission status updates

You may configure notification preferences within the App’s Settings. You may also disable push notifications through your device’s system settings. Disabling notifications may result in delayed awareness of critical results or time-sensitive information.

Push notifications are provided as a supplementary convenience. AGAT does not guarantee their delivery, timeliness, accuracy, or completeness. Notifications may be delayed or fail to arrive and must not be relied upon as the sole means of identifying critical results or other time-sensitive information. Users remain responsible for reviewing laboratory reports and following their organization’s procedures for monitoring results, assessing equipment condition, and taking appropriate action. The absence of a notification does not indicate that results are normal or that no action is required. To the maximum extent permitted by applicable law, AGAT shall not be liable for losses arising from missed, delayed, or inaccurate push notifications. Nothing in this section alters any separate critical-result reporting obligations expressly agreed to by AGAT.

9.   Device Permissions

9.1  Camera Access

The App requests access to your device’s camera for the purpose of scanning QR codes and barcodes on equipment identification tags. Camera access is used solely for this purpose and no images or video are captured, stored, or transmitted.

You may deny camera access, in which case you may use the manual equipment selection feature as an alternative.

9.2  Network Access

The App requires internet access to synchronize data with AGAT’s servers, retrieve laboratory results, and receive push notifications.

9.3  Local Storage

The App uses secure local storage on your device to cache data for offline use and to store authentication tokens.

10.  Disclaimers and Limitation of Liability

10.1  “As Is” Basis

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGAT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2  No Guarantee of Availability

AGAT does not guarantee that the App will be available at all times or that it will be free from errors, interruptions, or security vulnerabilities. Scheduled maintenance, system updates, or unforeseen technical issues may temporarily affect availability.

10.3  Laboratory Results Disclaimer

Laboratory results displayed in the App are for informational purposes. While AGAT strives for accuracy in all laboratory analyses, the App is a tool for data access and submission — it does not replace professional engineering judgment. Equipment maintenance decisions should not be based solely on information displayed in the App without proper professional assessment.

10.4  Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, REGARDLESS OF THE THEORY OF LIABILITY.

AGAT has no liability whatsoever for indirect, exemplary, incidental, special or punitive damages, consequential loss, including without limitation, lost profits, loss of business, loss of opportunity, loss of good will, and cost of product recall, even if AGAT has been advised of the possibility of such damages. It shall further have no liability for any loss, damage or expense arising from the claims of any third party (including, without limitation, product liability claims) that may be incurred by the Client.

Except as aforesaid, AGAT disclaims all warranties, expressed or implied, including without limitation any warranties of merchantability or fitness for a particular purpose.

10.5  Force Majeure

AGAT shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, or pandemics.

11.  Termination

11.1  By AGAT

AGAT may suspend or terminate your access to the App at any time, with or without cause, including but not limited to:

  • Violation of these Terms
  • Expiration or termination of the service agreement between AGAT and your organization
  • Discontinuation of the App or the WebOAS service
  • Security concerns related to your account

11.2  By You

You may stop using the App at any time by uninstalling it from your device. To request deletion of your account, contact AGAT IT or your organization’s administrator.

11.3  Effect of Termination

Upon termination, your right to use the App ceases immediately. Any locally cached data on your device may remain until the App is uninstalled. Sections 5, 6, 10, and 13 shall survive termination.

12.  Modifications to Terms

AGAT reserves the right to modify these Terms at any time. When material changes are made:

  • The “Last Updated” date at the top of this document will be revised
  • Users may be notified through the App via push notification or in-app notice
  • Continued use of the App after such notification constitutes acceptance of the updated Terms If you do not agree to the modified Terms, you must stop using the App.

13.  Governing Law and Dispute Resolution

13.1  Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2  Jurisdiction

Any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Alberta.

13.3  Dispute Resolution

Prior to initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation.

14.  General Provisions

14.1  Entire Agreement

These Terms, together with the Privacy Policy and any applicable service agreement between AGAT and your organisation, constitute the entire agreement between you and AGAT regarding your use of the App.

14.2  Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.3  Waiver

The failure of AGAT to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4  Assignment

You may not assign or transfer your rights under these Terms without AGAT’s prior written consent. AGAT may assign its rights and obligations under these Terms without restriction.

15.  Privacy Policy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. The Privacy Policy is available at: https://agatlabs.com/legal/weboas-mobile-privacy-notice/

By using the App, you acknowledge that you have read and understood the Privacy Policy.
